Administrative Liability - Leg. Dec. 231/01

Sensitive to the need to ensure correctness and transparency in the running of our business, and to safeguard our position and reputation in the market place, our company identifies with the provisions of Legislative Decree 231/01.

For the first time, the aforementioned decree introduced into Italian regulations a company’s liability for crimes committed – in the interest or to the advantage of said company – by any individual in a representative, administrative, managerial or organizational position with financial and functional autonomy.

Such liability comes on top of the liability (already recognized in law) of the individual that commits the crime. On 30 October 2008 Project Automation’s Board of Directors resolved to officially adopt the documents regarding the Individual’s Administrative Liability Management System as prescribed in Legislative Decree 231/01.

The Board of Directors also deliberated on the nomination of the Auditing Committee.
